General Terms & Conditions of Cooperation with Jump Lab

These Terms & Conditions define the general framework of cooperation between “Jump Lab” (Jahesh LTD) and the “Client.” In the absence of a signed contract, this document shall serve as a binding agreement between the parties. In the event a formal signed contract exists, its provisions shall prevail.
1. Scope of Services
Jump Lab commits to providing digital marketing, branding, website development, social media management, content creation, and related services as agreed upon in the official proposal or contract.
2. Payment Terms
- All payments must be made at the beginning of each calendar month in twelve equal monthly instalments, directly to Jump Lab’s bank account.
- The contract value is annual and will be invoiced in GBP (£).
- All invoices will include 20% VAT.
3. Confidentiality
- All information exchanged between the parties, including financial data, business strategies, technical documents, and project-related communications, shall be treated as confidential and may not be disclosed or used without written consent.
- This confidentiality obligation shall remain in effect for 12 months after the end of the cooperation.
- In case of breach, the violating party shall pay £1,000 per violation and fully compensate for any financial or reputational damages.
- The affected party reserves the right to pursue legal action and claim further damages.
4. Term & Termination
- All Jump Lab service contracts are 12-month agreements. The standard cooperation period is defined and renewed on an annual basis.
- Termination Conditions:
- The client may only terminate the contract by paying the entire remaining balance of the annual contract, with a minimum of one month’s prior written notice.
- In case of delayed payments exceeding 30 days, Jump Lab reserves the right to terminate the contract unilaterally and demand the full annual contract amount plus any damages incurred.
5. Intellectual Property
- Ownership of deliverables (content, designs, websites, etc.) will be transferred to the client only after full payment.
- However, methodologies, tools, and technical knowledge used by Jump Lab remain its intellectual property.
- Jump Lab retains the right to include the client’s name or project in its portfolio or promotional materials, without revealing confidential details.
6. Independent Contractor Relationship
The relationship between the parties is that of independent contractor. This agreement does not create any employment, partnership, or agency relationship.
7. Governing Law
This agreement shall be governed and interpreted in accordance with the laws of England and Wales.
8. Force Majeure
In case of unforeseen events such as natural disasters, war, legal changes, or governmental decisions that hinder the fulfilment of obligations, the affected party must notify the other party as soon as possible and take reasonable steps to mitigate the impact.
9. Non-Solicitation
The client agrees not to directly hire or solicit Jump Lab’s employees, contractors, or existing clients during the contract term and for one year thereafter, without prior written consent.
10. Entire Agreement
This document constitutes the entire agreement between the parties. Any amendments must be made in writing and signed by both parties to be valid.
11. Precedence of Signed Contract
If a formally signed contract exists between the parties, it shall take precedence over these Terms & Conditions. However, in the absence of a signed contract, this document shall serve as a legally binding agreement.
